International law firm Clifford Chance advises THG on its option and collaboration agreement with SB Management, a subsidiary of SoftBank Group Corp., with the intention to explore future commercial arrangements between them, together with the grant of a $1.6bn option over THG Ingenuity, implying an enterprise value for THG Ingenuity of $6.3bn.
In addition, and contemporaneously, law firm Clifford Chance has advised THG on its $1bn equity capital raising consisting of a subscription of approximately $730m and a placing of up to $270m.
The cross-practice Clifford Chance team comprised M&A Partners Christopher Sullivan (THG Relationship Partner) and Steven Fox and Capital Markets Partner Adrian Cartwright. Corporate Senior Associate Shimin Lee, Capital Markets Senior Associate Conor Maguire, Tax Partner Richard Kalaher, Antitrust Partner Jennifer Storey with Senior Associate Shruti Hiremath also advised.
Clifford Chance previously advised THG on London’s biggest IPO in 2020, which raised £920 million pounds ($1.21 bn) for the company on a transaction led by Adrian Cartwright.
