Global law firm Dentons advised Greencells Group on the formation of a joint venture with Renewable Consulting S.r.l. for the joint development of agri-voltaic projects with a total capacity of at least 350 MW.
The joint venture, named Greencells Agrosolar S.r.l., comprises a portfolio of 14 photovoltaic plants to be built in the “Foggia Sud” cluster in southeastern Italy. The first plant is expected to reach “ready to build” status at the end of the year or early in 2022.
On behalf of Greencells, Dentons handled the due diligence of the 14 projects, the drafting and negotiation of the agreement for the purchase of a 50 percent stake in the project holding company, as well as the shareholders’ agreements and the co-development agreement.
Dentons acted with a team led by partner Carsten Steinhauer and counsel Christian Fabricatore, and comprising managing counsel Mileto Mario Giuliani and senior associate Riccardo Narducci.
