Clifford Chance advises Dongfeng and BNP Paribas on the accelerated bookbuild offering of shares in the capital of Stellantis

Clifford Chance acted as transaction counsel advising long-standing clients Dongfeng and BNP Paribas on the accelerated bookbuild offering of ordinary shares in the capital of Dutch company Stellantis N.V., a leading global automaker and provider of innovative mobility solutions (combining Fiat Chrysler and PSA) and listed in the US, France and Italy.

The offering consisted of 40.0 million shares in the capital of Stellantis N.V., representing c. 1.3% of Stellantis N.V.’s share capital, raising gross proceeds of around EUR 732 million. Launch of the accelerated bookbuild offering took place on 21 January 2022, with pricing on 26 January 2022.

BNP Paribas acted as sole global coordinator and joint bookrunner. Clifford Chance acted as transaction counsel for both Dongfeng and BNP Paribas.

The Clifford Chance cross-border team was co-led by Tim Wang, Yi Yang (Shanghai) and Han Teerink (Amsterdam). Other key team members included Mercia Wang and Luna Xu (Shanghai), Jing Jing and Hu Xinyi (Beijing), Marina Sarkisjan (Amsterdam), Aline Cardin and Clement Delaruelle (Paris) and Olivier Plessis, Alex Bafi and Garo Yaghsezian (US team in Paris).
