Summer of ‘26 – Hogan Lovells Cadwalader’s Corporate & Finance lawyers in Spain look back on intense deal activity

• The firm strengthens its position in the Spanish market advising on numerous domestic and cross-border transactions during the summer period

The summer has once again seen intense transactional activity for Hogan Lovells Cadwalader in Spain.

Between May and September, the firm’s M&A, Capital Markets, Private Equity, Banking & Finance, Tax, Real Estate and Competition teams in Spain advised on more than 25 transactions with an aggregate value exceeding EUR 6.3bn and, if considering the Puig/Estée Lauder transaction, representing over EUR 41.5bn. The firm maintains the strong deal activity seen in recent years and further strengthens the team’s position in the Spanish market.

Hogan Lovells Cadwalader advised, among others:

  • Mapfre on the acquisition of Safety Insurance Group Inc., a transaction valued at USD 1.5bn, equivalent to approximately EUR 1.3bn.
  • TSK Electrónica y Electricidad on its initial public offering and stock market listing valued at EUR 150m.
  • Puig in its attempted c. USD 40bn business integration with Estée Lauder.
  • The joint global coordinators and the sellers on the accelerated book-built offering of shares of ACS for a total amount of approximately EUR 2bn.
  • Marsh on its acquisition of AltamarCAM, a global specialist private markets asset manager headquartered in Spain.
  • GETEC (JP Morgan) on the Spanish aspects of the acquisition of the Cogenio group from infrastructure fund Infracapital.
  • Alantra Private Equity on its acquisition of a majority stake in Deudafix, a Spanish specialist in debt management and consumer financial services through technology-enabled solutions.
  • The shareholders of Joanca, a Burgos-based logistics group, on its sale to Nansen Global Investment, an investment vehicle of Sherpa Private Equity.
  • Europe’s leading construction equipment rental group Loxam on the acquisition of two Spanish companies.
  • Halma plc on the Spanish aspects of its acquisition of Pyxis, a provider of water quality monitoring technology with subsidiaries in the U.S., China and Spain.
  • Banco Santander on a dual fund finance transaction for Aurica Search Fund and Aurica Private Equity worth approximately EUR 50 million.
  • GMP on the acquisition of AstraZeneca’s current corporate headquarters in Spain, an office complex located in Las Tablas, Madrid.
  • Unik Capital on the acquisition of a logistics asset in Seville developed by Hispavima and leased on a long-term basis to Conway.
  • Starwood Capital Group on the acquisition from Nuveen of four build-to-rent and build-to-sell residential projects located in Madrid, Alcalá de Henares, Pamplona and Córdoba.
  • Starwood Capital Group on the sale, to Square Asset Management, of the Omega Business Park office complex in Alcobendas, Madrid.
  • Corebridge Real Estate Investors on the sale to CBRE Investment Management of the build-to-rent residential complex “Central Q”, located in Quart de Poblet, Valencia.

This period has also marked a new, bold chapter for the firm on a global scale, following the transatlantic combination that created Hogan Lovells Cadwalader, effective from 1 July.
