
Sidley’s Shareholder Activism and Corporate Defense team is assisting Emerson Electric Co. (NYSE: EMR) in its publicly announced proposal to acquire National Instruments (NASDAQ: NATI) for US$53 per share in cash. The public proposal follows several months of discussions between the parties and the announcement by National Instruments that it had adopted a poison pill and would conduct a review of strategic alternatives.
