
Mayer Brown is advising Cherry Hill Mortgage Investment Corporation (NYSE: CHMI) on its sale to TPG Mortgage Investment Trust, Inc. (NYSE: MITT) pursuant to a definitive merger agreement under which MITT will acquire CHMI. Under the terms of the agreement, CHMI stockholders will receive 0.3063 shares of MITT common stock and $0.93 in cash per share. Following the closing, MITT stockholders are expected to own approximately 73% of the combined company and CHMI stockholders approximately 27%.
The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including stockholder and regulatory approvals.
