Linklaters advises Uniper SE on new €3bn syndicated credit facility

Linklaters has advised Uniper on the early refinancing of its existing syndicated credit facility entered into in 2024. The previous €3bn facility has been replaced by a new syndicated credit facility of the same amount. The new facility serves as a permanent liquidity reserve, was agreed on improved terms and has a maturity of five years, with two extension options of one year each.

The new credit agreement continues to be structured as a sustainability-linked loan. As with the credit facility entered into in 2024, the financing terms are linked, among other things, to the achievement of Uniper’s CO₂ reduction targets. The financing therefore further underscores the integration of sustainability considerations into Uniper’s financing strategy.

Düsseldorf-based Uniper is a European energy company with global operations. With approximately 7,000 employees, Uniper plays a key role in safeguarding Europe’s energy supply, particularly in its core markets of Germany, the United Kingdom, Sweden and the Netherlands.

The Linklaters team was led by Urs Lewens (Counsel, Banking). The team also included Ulrich Johann (Counsel, Tax), Philipp Bergjans (Associate, Banking) and Benedikt Kruse (Associate, Tax; all Frankfurt).

Linklaters regularly advises corporates and banks on bond issuances and on credit facilities of all kinds. Over the past year, the Corporate Finance team led by Alexander Schlee and Urs Lewens has advised, among others, Bayer, thyssenkrupp, Rheinmetall and various banking syndicates in connection with bond issuances and syndicated credit facilities.
