Linklaters advises on IRB InvIT Fund’s INR 20bn qualified institutional placement of units

Linklaters has acted as the sole international counsel to the banks in IRB Infrastructure Developers Limited’s IRB InvIT Fund raising of INR 20 billion (Rs 2,000 crore) through an institutional placement and preferential allotment of units.

IRB Infrastructure is one of India’s premier and largest highway infrastructure assets development and management platform. The institutional placement attracted strong, broad-based participation from both domestic international investors, including long-term institutional investors such as pension funds, insurance companies, mutual funds, and family offices.

This marks IRB InvIT Fund’s second major fundraise since its launch and listing in 2017. Linklaters also acted as sole international counsel on its previous major capital raise in 2025.

The Linklaters team was led by partner and Head of India Practice Amit Singh, supported by counsel Joseph Wolpin and managing associate Utkarsh Mishra.

Amit Singh, Head of India Practice at Linklaters, commented:

“We are pleased to have supported the banks on IRB InvIT Fund’s latest fundraising round, building on our work in its previous capital raise. The transaction comes amid continued long-term institutional interest in India’s infrastructure sector and reflects the role of Infrastructure Investment Trusts in providing platforms with access to institutional capital.”

With more than 50 years of on-the-ground experience in Asia, Linklaters has an established reputation as the leading Indian capital markets practice, offering technical expertise and commercial awareness to create novel solutions to maximise investment opportunities. The team supports international clients and leading Indian corporates as they invest both within and outside India across a wide range of sectors and recently advised on the National Highways Authority of India’s institutional placement of units of its privately listed infrastructure investment trust.
