Linklaters has advised Hg, a leading investor in European and transatlantic software and services businesses, in relation to its majority investment in ENTERSOFTONE (“ES1”), a leading provider of ERP and business software in Greece with operations across Southeast Europe, in a transaction valuing the business at approximately €1 billion. The transaction marks Hg’s first investment in Greece and represents a significant milestone in the continued growth of the country’s technology sector.
The investment comes at a time of accelerating digital transformation among businesses across Greece and Southeast Europe, driven by increasing adoption of cloud technologies, digital compliance requirements, and growing demand for AI-enabled solutions.
ES1 is an Athens-headquartered enterprise software business, formed in 2025 from the merger of Entersoft and Softone, that has established itself as a leading provider of business-critical software solutions across the region. The business serves more than 90,000 customers through a comprehensive suite of ERP, CRM, retail, warehouse management, e-commerce, HCM/payroll and electronic invoicing solutions across Greece, Romania, Bulgaria and Cyprus.
The Linklaters team was led by Co-Head of the firm’s Global Financial Sponsors group Alex Woodward and Private Equity Partners Genna Martenand John Tsui, supported by Managing Associates Jake Thornton and Claudia Harris, and Associates Jason Bath, Shivraj Rajendran and Diane Jang.
The team also drew on cross-practice expertise from across the firm’s international platform, including TMT Partner Georgina Kon, Antitrust & Foreign Investment Partners Jonathan Ford and Managing Associate Jakob Šešok, Employment & Incentives Partner Bradley Richardson, Counsel Simon Kerr-Davis, Managing Associate Sarah Collister, Leveraged Finance Partner Peter Hayes and Tax Partner Jamie Coomber.
The transaction continues Linklaters’ longstanding relationship with Hg, having advised on a number of significant software and technology transactions across Europe and internationally.
Completion of the transaction is subject to customary regulatory approvals.
