Latham Advises on Financing for Management Buyout of Irish Continental Group

Latham & Watkins has advised the lenders on the financing for management’s cash offer of €8.00 per share for Irish Continental Group, plc (ICG), the leading Irish-based maritime transport group. Management will acquire the entire issued and to be issued share capital of ICG pursuant to the acquisition. ICG is currently listed on the London Stock Exchange and Euronext in Dublin.

The acquisition values the entire issued and to be issued share capital of ICG at approximately €1.2 billion, and will be the largest-ever public management buyout in Ireland.

The Latham team was led by London finance partner Conrad Andersen and counsel Lynsey Edgar, with associate Yuka Nagata. Advice was provided on hedging matters by London partner Delyth Hughes; and on tax matters by London partner Aoife McCabe.
