Dentons HPRP Advises on Aerius Leasing’s Inaugural Offshore Energy Helicopter Leasing Transaction Supporting Operations in Indonesia

Dentons HPRP acted as Indonesian joint counsel to Investec Bank (Mauritius) Limited in connection with the financing and leasing arrangements for the acquisition of a Leonardo AW139 helicopter by Aerius Leasing. The transaction forms part of Aerius Leasing’s inaugural offshore energy helicopter leasing transaction and involved the purchase and leaseback of the aircraft from Weststar Aviation Services for operations in Indonesia.

The helicopter will be operated by PT Weststar Aviation Indonesia in support of ENI’s offshore oil and gas activities in Indonesia. The transaction was structured through a financing and leasing framework supported by security arrangements over the aircraft and related rights, requiring careful consideration of Indonesian legal and regulatory requirements.

Dentons HPRP’s aviation team, led by Partner Hendra Ong and supported by Senior Associate Ken Atyk Nastiti, and Associates Hilwa Az Zahra Adwani, and Antonio Bryan, advised on the Indonesian law aspects of the transaction, including the leasing arrangements, security package, and related corporate and transactional documentation. The team also assisted in assessing the enforceability of the transaction structure under Indonesian law, the allocation of risks and liabilities, and key regulatory considerations to facilitate the lawful operation of the aircraft in Indonesia while protecting the lender’s interests.

This transaction highlights Dentons HPRP’s continued experience in advising lenders, lessors, and aviation industry participants on complex cross-border aviation financing and leasing transactions involving Indonesia.
