Dentons HPRP is acting as legal counsel to PT Indoedge Real Estate and Data Centre (DAMAC Digital Group) in connection with the development of a large-scale data centre project in Indonesia, with an overall estimated project value of up to USD 5 billion. The current phase of the engagement focuses on the acquisition of land for the planned data centre development and the preparation of the related operational agreements.
The matter is led by Partner Trijoyo Ariwibowo, one of the partners in the Real Estate practice, with support from Associates Hilwa Az Zahra Adwani and Gregorius Alisander Ponglapik, Anissa Astarina, Pradit Soebroto, and Azizah Nadhira. The team acts as lead Indonesian counsel on all legal aspects of the project, advising on the land acquisition, project structuring, and the related data centre operational agreements.
The project forms part of a series of data centre transactions handled by Dentons HPRP and involves advising on transaction structuring, including closing mechanics, conditions precedent, land conversion processes, regulatory risk allocation, contractual protections to address zoning-related issues, and complex negotiations with counterparties to ensure alignment with the project timeline and operational requirements.
