Dentons Canada advises Energy Fuels on US$1.9B definitive agreement to acquire VAC

Dentons, Canada’s Global Law Firm, is pleased to have advised Energy Fuels Inc. in connection with its definitive agreement to acquire Vacuumschmelze GmbH & Co. KG, Ara VAC TopCo US LLC and their respective consolidated subsidiaries (collectively VAC) from Ara Partners in a transaction valued at approximately US$1.9 billion.

The acquisition marks a significant milestone in Energy Fuels’ strategy to build a fully integrated rare earth business, combining mining, processing and permanent magnet manufacturing capabilities to help strengthen critical mineral supply chains across North America and Europe. As governments and industries increasingly prioritize secure, diversified sources of rare earth materials, the transaction positions Energy Fuels to support growing demand across sectors including automotive, aerospace, defence, electronics and advanced manufacturing.

The transaction will combine Energy Fuels’ rare earth mining, processing and refining platform with VAC’s magnet manufacturing expertise, creating a fully integrated mine-to-magnet rare earth platform positioned to capitalize on growing demand across critical industries.

Dentons advised Energy Fuels throughout the transaction, bringing together a multidisciplinary team with experience in complex cross-border M&A, tax and competition matters, leveraging the Firm’s global platform across multiple jurisdictions. The multidisciplinary Canadian legal team was led by Jason Saltzman and included Andreas Kloppenborg, Emeleigh Moulton, Anthony Berlingieri and Sélina Audino (Corporate), Mark Jadd and Dan Safi (Tax) and Sandy Walker (Competition).
