Dentons partner Toni Weinstein advised American Campus Communities, Inc. (ACC) in connection with the appointment of new directors and the formation of a capital allocation committee to serve as an advisory group, helping to evaluate capital allocation strategy and priorities to further improve investment strategies, net asset value creation and the quality of earnings growth. The board refreshment and governance enhancements followed discussions with Land & Buildings Investment Management, LLC, which led to a cooperation agreement under which Land & Buildings agreed to vote its shares in favor of all of the ACC board’s director nominees.
Weinstein concentrates her practice on corporate and securities matters, with particular emphasis on public and private securities offerings, mergers, acquisitions, tender offers and corporate governance issues. She provides general corporate counseling to a number of companies, both public and private, and also represents issuers, borrowers and institutional lenders in financing, joint venture and restructuring transactions. Her clients operate in a wide variety of industries, including real estate development and investment, retail and healthcare.
