Clifford Chance has advised Corporación Financiera Alba, S.A. (“Alba”) in reaching an agreement to acquire a direct stake of approximately 14% in Nature Topco UK Limited (“Nature Topco”), a UK company majority-owned by KKR for a total consideration of US$295 million.
Alba expects to hold an indirect stake of 14% in ERM Worldwide Group Limited (“ERM”), upon the closing of the acquisition of a majority stake in ERM by Nature Topco agreed with Canadian investors OMERS Private Equity and AIMCo.
ERM is the leading global pure-play environmental, sustainability, and health and safety consultancy firm. Headquartered in London, ERM has over 3,500 clients and operates in 43 countries.
Clifford Chance advised the client with a multidisciplinary and cross-border team that included professionals from Clifford Chance’s Madrid and Luxembourg offices. The Clifford Chance team was led by Jorge Martín Sainz and Samir Azzouzi.
