Sidley Represents Webcor in Its Acquisition of GCON

Sidley is representing commercial builder, Webcor, in its acquisition of GCON, a Phoenix, AZ-headquartered full-service construction management firm serving the technology, healthcare, aviation, higher education, and public sectors. GCON has a footprint in 23 states, including active mission-critical environments, data centers, and semiconductor projects across 10 states. Webcor will leverage GCON’s expertise in the technology space to expand into new, high-growth markets, while GCON will take advantage of the financial strength of Webcor and its parent company, Obayashi, to pursue larger projects. GCON will continue to operate separately under its existing leadership and brand, with oversight from Webcor. The transaction is expected to close in Q4 of 2025, subject to customary closing conditions, including regulatory approvals.

The Sidley team is being led by Payom Pirahesh, Tommy Tsao, and Luke Ashworth (M&A and Private Equity), and includes Blake Winter (M&A and Private Equity); Jonathan Westreich and Andy Lau (Tax); Vadim Brusser, Mary Marks, and Miriam Carroll Silvestri (Antitrust and Competition); Connor Evans and Alyssa Hartley (Commercial Litigation and Disputes); Eric Wolf, Ryan McLeod, and Sarah Recktenwald (Employee Benefits and Executive Compensation); Jen Fernandez, James Mendenhall, and Howard Stanislawski (Global Arbitration, Trade and Advocacy); Scott Goldstein (Insurance); Cathryn Le Regulski, Patrick Casey, and Ryan Martin (Labor and Employment); Beatriz Azcuy (Real Estate); and Russell Weiss, Dusan Clark, and Paul Kariyawasam (Technology and Life Sciences Transactions).
