Sidley represented Invenergy, North America’s largest privately held developer, owner, and operator of power infrastructure, in the formation of its strategic equity partnership with HA Sustainable Infrastructure Capital, Inc. (“HASI”) (NYSE: HASI), a leading investor in sustainable infrastructure assets, to support a 2.7 GW portfolio of select Invenergy projects across the United States, including utility-scale solar, solar-plus-battery storage, and wind projects.
The partnership’s 10-project portfolio will reach across six major U.S. power markets and seven states — Arizona, New Mexico, Texas, Arkansas, Indiana, Ohio, and New York. HASI will fund each of the projects as it reaches commercial operations. All projects are backed by long-term agreements with investment-grade offtakers, including corporate, utility, and public-sector entities. Invenergy will retain control and majority ownership and will continue to lead day-to-day operations of the projects.
The Sidley team was led by Chaim Theil (Private Equity); and Tara Higgins and Curtis Hart (Energy and Infrastructure). Significant transactional support was provided by Nisha Jain, with additional associate support from Tiph Kugener (Energy and Infrastructure). Specialist support was provided by Hagai Zaifman and Jennifer Waclawik (Tax); Terence Healey (Energy Regulatory); Scott Goldstein (Insurance); and Heather Palmer (Environmental).
