Mayer Brown advises Talos Energy on successful Mexico transaction with Grupo Carso to develop Zama oil field

Mayer Brown advised Houston-based independent offshore exploration and production company Talos Energy Inc. (Talos) on the sale of a 49.9% interest in Talos Mexico, the company’s Mexican subsidiary, to Zamajal, S.A. de C.V., a wholly-owned subsidiary of Grupo Carso. Talos Mexico, now owned 50.1% by Talos and 49.9% by Grupo Carso, holds a 17.4% stake in the Zama field located in offshore Mexico.

The $124.7 million purchase prices establishes a baseline Zama valuation for Talos shareholders while providing material upfront cash proceeds. The transaction closed on September 27, 2023, after approval by Mexico’s Federal Economic Competition Commission.

The team included Houston-based Corporate & Securities partner Jose Valera and associate Federica Castro, and Banking & Finance partners Ariel Ramos and Francisco García Naranjo and associate Eduardo Diego-Fernandez in Mexico City.
