Linklaters advises Yondr on the sale of majority interest in UK data centre campus

Linklaters has advised Yondr Group on the sale of a majority interest in one of its UK hyperscale data centre campuses to UK investment fund GLIL Infrastructure LLP (“GLIL”).

Yondr is a leading owner and operator of hyperscale data centres, while GLIL is a long-term investor established by UK pension funds to invest collaboratively in infrastructure across the UK and Europe.

Under the terms of the transaction, Yondr will retain a minority ownership interest in the asset and continue to be responsible for its operational management following completion. The asset comprises two fully operational hyperscale data centre buildings in one of Europe’s most established data centre markets and serves a leading hyperscale customer.

The transaction enables Yondr to realise value from a stabilised asset while maintaining a long-term role in its operation and future success. It builds on Yondr’s successful capital deployment strategy for its UK data centre platform and represents the latest example of the increasingly sophisticated capital structures emerging across the digital infrastructure sector.

The campus was previously the subject of Yondr’s landmark asset-backed securitisation (ABS) financing, on which Linklaters also advised. This latest investment by GLIL demonstrates the continued evolution of data centres as a mature infrastructure asset class and highlights the increasing range of capital solutions available to digital infrastructure owners, from innovative financing structures through to long-term institutional investment partnerships.

An international, cross-practice Linklaters team advised Yondr on all aspects of the transaction. The team was led by London Corporate Partners David Martinand Henrietta White, together with Alaister Johnson, TMT Partner in Singapore.

David Martin, Corporate Partner and Global Co-Head of the Telecoms, Media and Business Services sector at Linklaters, commented:

“This transaction reflects the increasing maturity of data centres as an infrastructure asset class and the expanding range of capital solutions available to owners and investors. Having also advised Yondr on the campus’s earlier ABS financing, we are delighted to have supported the company on another important milestone in the evolution of its UK platform.”
