Linklaters advises Prologis, Inc. on its recommended offer for SEGRO plc

Linklaters is pleased to be advising Prologis, Inc., the world’s largest logistics real estate company, on its recommended share offer with a partial cash alternative for SEGRO plc. The £14bn offer for SEGRO represents the largest UK public M&A transaction in recent years. The transaction will bring together two premier real estate portfolios into a single global platform, with c.$269bn. of assets under management.

The transaction is expected to complete in the first half of 2027, subject to receipt of customary regulatory approvals. As part of the transaction, Prologis has committed to implement a secondary listing on the London Stock Exchange concurrently with completion.

This is the latest in a series of major UK public M&A transactions that Linklaters has advised on in 2026, including Tinicum and Blackstone’s recommended offer for Senior, Tate & Lyle’s recommended offer by Ingredion, EQT’s recommended offer for Intertek, and Mitie’s recommended offer by OCS, further cementing Linklaters’ market leading position in this space. The firm recently achieved a #1 ranking in the UK for M&A in Bloomberg’s H1 2026 league tables.

The cross-practice deal team is led by Corporate Partners Iain Fenn and Jonathan Sadler, supported by Managing Associate Patrick Fincham and Associate Will Simpson. Bruce Kilpatrick, Verity Egerton-Doyle and Christoph Barth (Antitrust & Foreign Investment), Alexandra Beidas and Nick Marshall (Employment & Incentives), Atish Shah and Ifeanyi Chukwulobelu (Banking), and Rhian Parker are also advising.

Iain Fenn, Corporate Partner, said:
“We are very pleased to be advising Prologis, Inc. on this landmark transaction, the largest seen in the UK public markets for many years. This is precisely the type of complex deal where our full corporate offering and global platform come into their own, combining our cross-practice specialist expertise with market-leading commercial advice.”
