Linklaters advises one of the world’s largest commercial vehicle manufacturers on secondary offering

Linklaters has advised Daimler Truck AG in connection with the global secondary offering of ARCHION Corporation shares by Daimler Truck AG and Toyota Motor Corporation. ARCHION is a Japan-listed holding company which commenced its business operations in April 2026 with the business integration of Mitsubishi Fuso Truck and Bus Corporation and Hino Motors, Ltd. Prior to the business integration, Mitsubishi Fuso was part of the Daimler Truck Group.

Following settlement of the transaction, Daimler Truck’s equity stake in ARCHION has been reduced to 25% as planned, matching Toyota’s equity stake level and completing the planned post-integration ownership structure in ARCHION.

Marco Carbonare, lead partner at Linklaters, said:

“We are pleased to have supported Daimler Truck on an important international transaction. The mandate underlines the international experience of our equity capital markets (ECM) team, which regularly advises German corporates on transactions outside Germany, including by contributing its long-standing experience with capital markets transactions with a US Rule 144A tranche.”

The Linklaters team was led by Marco Carbonare (Partner, Corporate/M&A, Frankfurt) and John Hunt (US Counsel, Corporate/M&A, Frankfurt). Other team members included David-Julien dos Santos Goncalves (Partner, Antitrust & Foreign Investment, Düsseldorf), Martin Rojahn (Partner, Capital Markets, Frankfurt), Kevin Roy (Senior US Counsel, Corporate/M&A, Berlin), Alexander Auster, Alexander Gatlin (both US Associates, Corporate/M&A, Frankfurt) and Tabea Meißner (Associate, Capital Markets, Frankfurt).

Linklaters’ market-leading ECM team regularly advises issuers and underwriters on the full spectrum of equity transactions, including IPOs, carve-outs, spin-offs, rights issues and primary and secondary block trades, not only in Germany, Austria and Switzerland, but throughout Europe and globally. In Germany, the integrated US practice advises in particular on capital markets transactions with a US Rule 144A tranche and private placements with US and international investors.

Most recently, Linklaters’ ECM team advised the banking consortia on the re-IPO of OHB SE in Germany, the IPO of ASTA Energy Solutions AG in Austria, the IPO of SMG Swiss Marketplace Group in Switzerland and the rights issue and capital increase of Theon International Plc in Cyprus and the Netherlands. The team also advised thyssenkrupp AG and the issuer on the spin-off of thyssenkrupp Marine Systems AG & Co. KGaA.
