Linklaters advises on Neopharmed Gentili’s €890m high yield bond offering

Linklaters has advised the initial purchasers on the €890m high yield bond offering by Neopharmed Gentili (a portfolio company of Ardian and Renaissance Partners). Neopharmed Gentili is a leading Italian primary care pharmaceutical company and is also active in the European rare disease business. The proceeds of the offering will be used mainly to be used to repay outstanding group indebtedness, pay M&A costs and fund a distribution to refinance a portion of the holdco indebtdness. Following strong investor demand, the offering was upsized to more than double its originally planned size.

The Linklaters high yield team was led by partner Giacomo Reali, and included US associates Makenna Cherry and Francesca Sebastiani, together with capital markets associate Thomas Alves Pereira.

The team was also supported on banking aspects by counsel Marco Carrieri, managing associate Maria Chiara De Biasio, and associates Riccardo Sirchiaand Rosa Maria Moschella. Partner Roberto Egori, together with counsel Fabio Balza and Eugenia Severino, advised on Italian tax aspects, US counsel Omer Harel on US tax matters.
