Linklaters advises Infracapital on its acquisition of Vopak Rotterdam Botlek for €407 million

Linklaters has advised Infracapital Partners IV SCSp (Infracapital) on its acquisition of 100% of Vopak Rotterdam Botlek (VRB), a Dutch specialised liquid storage terminal business, from Vopak Management Netherlands B.V., for a purchase price of €407 million, including a conditional deferred payment of €19.5 million.

VRB comprises a portfolio of three chemical liquid storage terminals with a combined capacity of 1.4 million cbm, strategically located in the Botlek area of the Port of Rotterdam. The VRB terminals store a variety of base and specialty chemicals and are directly connected to their largest clients in the region via 40 pipelines. VRB has multi-modal connectivity, including deep-sea vessels, barges, pipelines, trucks and trains.

Infracapital will support VRB in its expansion, with the company well positioned for growth via significant valuable land available, positioning it to capture growth in sustainable and circular chemicals in the Botlek area of the port of Rotterdam.

The acquisition aligns with Infracapital’s strategy to invest in essential infrastructure to meet the changing needs of society and support long-term economic growth across Europe.

The transaction is subject to works council consultation and anti-trust approval in the Netherlands and is expected to close before the end of the year.

The Linklaters deal team consisted of an Amsterdam Corporate team, led by partners Jan Willem de Boer and Mariken van Esch, alongside counsel Gijs Smit, managing associates Niki van Kessel and Tom Reker, and associates David de Gilder and Joris Knoll.
