Linklaters has advised Carlyle, PAI Partners and Theramex on the sale of Theramex, a leading global women’s health specialty pharmaceutical company, to Cinven.
Theramex is one of the largest global speciality pharmaceuticals platforms dedicated to women’s health globally. The London-headquartered company has established significant international presence, reaching more than six million patients in over 80 countries in Europe, Africa, Asia-Pacific and Latin America.
Linklaters has supported Carlyle and PAI Partners across the full life cycle of the investment, having advised on the consortium’s acquisition of the business in 2018, value creation through Theramex’s subsequent acquisitions of products from Viatris in 2023, and now on their joint exit.
Linklaters drew on a cross-jurisdictional team with deep healthcare and life sciences expertise to advise on the transaction, led by UK-based Corporate Partner Daniel Law, Germany-based Corporate Partner and Healthcare Regulatory specialist Jana Hager, and London-based TMT Partner Rich Jones and IP Partner Yohan Liyanage.
The wider team worked across eight key jurisdictions, bringing together specialists in healthcare regulatory, IP, TMT, finance, employment & incentives, pensions, real estate and ESG, including Corporate Managing Associate Nitesh Nagrath, Corporate Associates Evan Chooi and Jubayer Miah, and Trainee Solicitors Anna Kam and Imaan Saeed.
The transaction is subject to customary regulatory approvals and other customary closing conditions.
