Latham & Watkins LLP has advised Versicherungskammer Group on the purchase of a stake in M 31 Beteiligungsgesellschaft mbH & Co. Energie KG (M 31) from Evonik. As part of the transaction, Versicherungskammer Group will acquire an indirect 2.1% stake in Amprion GmbH, becoming a long-term minority owner of Germany’s second-largest electricity transmission network.
In addition to the acquisition of shares, Versicherungskammer commits to injecting the equity contributions attributable to the Evonik stake for the years 2024 and 2025, thereby supporting Amprion’s further growth.
The Latham deal team was led by infrastructure M&A partner Alexander Stefan Rieger and corporate partner Leif U. Schrader, with associates Joscha Müller, Juan Garcia Jacobsen, and Janina Fey. Advice was also provided on tax matters by partners Tobias Klass and Stefan Süß, with associate Felicitas Mayer-Theobald.
