Latham & Watkins Advises Shareholders on Sale of SK Pharma to Arcus Infrastructure Partners

Latham & Watkins LLP has advised the selling shareholder group, including Syz Capital, Saturnus Capital, and the founder, on the sale of SK Pharma Logistics GmbH (SK Pharma), a pure-play provider of logistics solutions to the healthcare industry in Germany, to Arcus European Infrastructure Fund 4 (AEIF4), managed by Arcus Infrastructure Partners. AEIF4 has entered into a definitive agreement to acquire SK Pharma alongside the reinvesting management team. The transaction is expected to complete in Q4 2026, subject to relevant regulatory clearances.

The Latham team was led by Munich corporate partner Burc Hesse, with associates Chris Freitag, Sara Collorio, and Giulia Zöller. Advice was also provided on tax matters by Munich counsel Daniel Hiemer; on finance matters by Munich partner Christian Jahn, with associates Valentin Mezger and Thomas Stüber; on antitrust matters by Frankfurt partner Max Hauser, with associates David Marder and Kamilla Zembala; and on regulatory matters by Frankfurt partners Deniz Tschammler, Axel Schiemann, and Joachim Grittmann.
