Latham & Watkins Advises SEQENS on Its Financial Restructuring

Latham & Watkins has advised SEQENS, a world leader in the development and production of active pharmaceutical ingredients, intermediates, and specialty ingredients, in its financial restructuring. The group has reached an agreement in principle with its key financial stakeholders on a transaction that will deleverage and establish a more sustainable capital structure to support the group’s long-term development ambitions.

Upon completion of the contemplated restructuring, SEQENS’ senior lenders will become the group’s new shareholders, reinforcing their long-term commitment to the company’s future development. Bpifrance will remain a minority shareholder, reflecting its renewed confidence.

The transaction is expected to close by the end of 2026, subject to the required procedural and legal approvals necessary to implement the contemplated restructuring.

Latham has supported and will continue to support SEQENS at every stage of this process.

The Latham team was led from Paris by Restructuring partner Thomas Doyen and finance partner Xavier Farde, with restructuring associates Hugo Bodkin, Cecil Billy, and Arthur Goldberg, finance counsel Virginie Terzic, and finance associates Bruna Neiva Cardante, Hugo Rivière, and Ophélie Emprin. Advice was also provided on corporate matters by Paris partner Alexander Crosthwaite, with associates Julia Lefevre, Thibault Burnier, and Cheryl Yviquel; on capital markets matters by Paris partner Roberto Reyes Gaskin, with associate Jacqueline Yonover; and on tax matters by Paris partner Olivia Rauch-Ravisé, with London counsel James Leslie, and Paris associate Hugo Matricon. The team was further supported by Washington, D.C. partner Nick Luongo on corporate matters, and London partners Yen Sum and David Wallace with London associates Alexis Downe, Jessie Li, and Mikolaj Orzazewksi on restructuring and finance matters.
