Latham & Watkins Advises on Constellation’s US$3.1 Billion Secondary Offering of Common Stock

Constellation Energy Corporation (Constellation) announced it has completed an underwritten secondary offering of common stock, pursuant to which the underwriters purchased from the selling shareholders, 11,000,000 shares of common stock. The selling shareholders have granted the underwriters a 30-day option to purchase up to 1,350,000 additional shares of common stock. Concurrently, Constellation purchased from the underwriters 2,000,000 shares of common stock that were subject to the offering at a price per share equal to the price at which the underwriters purchased the shares from the selling shareholders in the offering, for an aggregate purchase price of approximately US$558 million.

Latham & Watkins LLP represented Energy Capital Partners in the transaction with a corporate deal team led by New York partners Benjamin Cohen, David Kurzweil, and Edmond Parhami, and Los Angeles/New York partner Jeff Greenberg, with associates Shawn Quinn, Ed Reynolds, and Said Bakir. Advice was also provided on investment funds matters by Washington, D.C. partner Amy Rigdon, with associate Jason Xi.
