
BKV Corporation (NYSE: BKV) has announced the pricing of an upsized offering of US$575 million aggregate principal amount of its 1.625% convertible senior notes due 2031 in a private offering to qualified institutional buyers. The offering size was increased from the previously announced offering size of US$400 million aggregate principal amount of notes.
Latham & Watkins LLP advised the initial purchasers in the offering with a corporate team led by Austin/Houston partner David Miller and New York partner Reza Mojtabaee-Zamani, with associates Giulia Franzoso, Cooper Shear, Robertson Dorsett, Daniel Weiss, Luisa Yokubaitis, and Marvin Thiele. Advice was also provided on tax matters by New York partner Bora Bozkurt, with associate Joyce Shin.
