Andersen Group Inc., a leading independent provider of tax, valuation, and financial advisory services to individuals, family offices, businesses, and alternative investment funds in the United States, has announced the pricing of an underwritten public offering of 4,284,457 shares of its Class A common stock by certain selling stockholders at a public offering price of US$44 per share. Gross proceeds to the selling stockholders are expected to be approximately US$188.5 million, before underwriting discounts and commissions and other offering expenses. The selling stockholders have also granted the underwriters a 30-day option to purchase up to an additional 642,668 shares of Class A common stock at the public offering price, less underwriting discounts and commissions. Andersen is not selling any shares in the offering and will not receive any proceeds from the sale of shares by the selling stockholders. The offering is expected to close on August 21, 2026, subject to customary closing conditions.
Latham & Watkins LLP represents the underwriters in the offering with a Capital Markets team led by partners Christopher Lueking and Scott Westhoff, with associates KC Sands, Caroline Hughes, and Jago Thomas. Advice was also provided on tax matters by partner Rene de Vera, with associate Ce’Ondra Ellison.
