Latham & Watkins Advises Financing Sources on AMC Entertainment’s US$2.85 Billion Refinancing Transactions

AMC Entertainment Holdings, Inc. (NYSE: AMC) (the company), has announced that it has priced US$2 billion aggregate principal amount of first lien notes due 2031 in a private offering. The company also announced that it has priced US$850 million of first lien term loans to be incurred under a new term loan facility (the New 1L Term Loan Facility). The offering and the New 1L Term Loan Facility are expected to close on October 5, 2026, subject to customary closing conditions.

Latham & Watkins LLP advised the banks in the transactions with a Capital Markets team led by New York partner Erika Weinberg and Los Angeles/New York Greg Rodgers, with associates Robyn Sablove, Raphaelle Desaleux, Rachel Moore, Elana Cates, and with assistance from Sammi Casamassino; and a banking team led by New York partner Conray Tseng and counsel Seung-Ju Paik, with associates Aditi Sharma, Sharon Yin, Sophia Premji, Dorian Refloc’h, and Eric Raff. Advice was also provided on tax matters by New York partner Bora Bozkurt, with associate Jack Santoro.
