
Latham & Watkins represented Eni S.p.A. on the sale, through an accelerated bookbuilding, of 199,556,000 ordinary shares of Saipem S.p.A. representing approximately 10% of the share capital, at a selling price of €1.970 per share, for total proceeds of approximately €393 million.
The placement, sold to institutional investors, was executed by a consortium of banks consisting of Citigroup, Goldman Sachs International, Intesa Sanpaolo, Natixis, and UniCredit acting as Joint Global Coordinators and Joint Bookrunners.
Latham advised Eni on US law matters with a corporate team led by partners Ryan Benedict and Antonio Coletti with counsel Guido Bartolomei and capital markets lawyer Irene Pistotnik.
