Latham & Watkins Advises Eni on US$3 Billion Dual-Tranche Bond Issuance

Latham & Watkins has advised Eni on the successful placement of a dual-tranche USD fixed rate bond offering for a total principal amount of US$3 billion.

The 10-year bond was placed for an amount of US$1.5 billion at a price of 99.172% and pays an annual coupon of 5.250%. The 30-year bond was placed for an amount of US$1.5 billion at a price of 98.105% and pays an annual coupon of 6.000%.

The transaction applies the Acupay System structure to accommodate securities from Italian issuers in US dollars offered and sold both inside and outside the US.

The Latham team was led by partners Ryan Benedict, Paolo Bernasconi, and Antonio Coletti, with associate Chiara Coppotelli. Advice was also provided on Italian regulatory matters by partner Cesare Milani and associate Daniele Isidoro; and on US tax matters by partner Rene de Vera and associate Tessa Young.
