Dawson Partners, a global alternative asset manager, has announced the closing of a US$1.8 billion structured liquidity solution with a long‑standing institutional partner. The transaction provides a structured liquidity solution to the counterparty to enable the counterparty to accelerate liquidity and tactically reallocate its portfolio, while sharing in any future upside. The portfolio consists of a diversified private assets portfolio with a net asset value of over US$1.8 billion across 30 fund interests and more than 500 underlying assets. Designed as an alternative to a traditional secondary sale, Dawson’s structured solution provides the institutional partner with liquidity while maintaining alignment with the long‑term performance of the portfolio through the ability to participate in potential future upside.
Latham & Watkins LLP represented Dawson in the transaction with a corporate deal team led by Investment Funds partner Rob Emerson and counsel Ali Beidoun, with associates Lexi Santa Ana, Victoria Cappucci, Stella Zhou, and Jordan Jean, with assistance from Andrew Johnson. Advice was provided on tax matters by partner Michael Milazzo, with associates Arash Lotfi, Ashley Flor, and Grace Jang.
