
Latham & Watkins LLP advised Alta Group in connection with Raiffeisen Bank International AG’s (RBI) voluntary public tender offer to acquire control of Addiko Bank AG. Alta Group took part as an existing Addiko shareholder and as RBI’s contractual counterparty under arrangements relating to the offer.
With acceptances for 56.16% of the Addiko shares subject to the offer, above the 55% minimum threshold, the offer has reached a key milestone. Completion remains subject to the outstanding closing conditions.
The Latham team was led by Frankfurt M&A partner Markus Krüger and Hamburg M&A partner Dirk Kocher, with associates Alexander Belk and Lasse Winzer. Latham acted as lead counsel EU, Gecić Law as lead counsel to Alta, and Fellner Wratzfeld & Partner Rechtsanwälte as local counsel in Austria.
