Latham Advises Paragon and cunova on de-SPAC Transaction With SEDA

Latham & Watkins has advised Paragon Partners and cunova GmbH (cunova), a leading global manufacturer of high-end specialty copper alloy products, on the business combination agreement with SDCL EDGE Acquisition Corporation (SEDA), a special purpose acquisition company.

Under the terms of the proposed business combination agreement, cunova will be indirectly acquired by a publicly listed, successor entity of SEDA and cunova will acquire KME Aerospace from KME Group. The combined company is expected to be listed on the New York Stock Exchange.

The Latham team was led by Düsseldorf partner Ingo Strauss and London partner David Stewart, with Düsseldorf partner Heiko Gotsche and London counsel Yoseph Choi, with London associates Jennifer Cadet, Jason Hyatt, Nathan Van As, Viktoria Mikhailovskaya, Nima Pourdad, and Düsseldorf associate Juan Garcia Jacobsen. Advice was also provided on tax matters by Munich partner Stefan Süß. Additional advice was provided by other practice groups within the international Latham network.
