Latham Advises on CoreWeave’s Pricing of US$1.25 Billion of Senior Notes and €2 Billion of Senior Notes

CoreWeave, Inc. (Nasdaq: CRWV) (CoreWeave) has announced that it priced a private offering of US$1.25 billion aggregate principal amount of 9.625% senior notes due 2032 and €2 billion aggregate principal amount of 8.500% senior notes due 2032 (collectively, the Notes). The Notes will have a maturity date of July 15, 2032. The closing of the offering of the Notes is expected to occur on June 18, 2026, subject to customary closing conditions. The Notes will be issued at par and guaranteed on a senior unsecured basis by certain wholly owned subsidiaries of CoreWeave.

Latham & Watkins LLP represents the initial purchasers in the offering with a Capital Markets team led by partners Keith Halverstam and Salvatore Vanchieri, with associates Kathleen Mehary, Gabriella Tang, and Jessmine Lee. Advice was also provided on tax matters by partner Rene de Vera, with associate Sam Yang.
