Select Water Solutions, Inc. (NYSE: WTTR) has announced that it has entered into a definitive agreement to acquire Pilot Water Solutions LLC, a leading, private water midstream company with primary operations in the Delaware Basin, for an equity-and-cash transaction valued at US$700 million, plus US$15 million of additional potential contingent cash consideration.
Latham & Watkins LLP advised the financing sources on the committed financing with a deal team led by Texas partners David Miller, Ryan Maierson, and John Slater, with associates Michael Schuster, Luisa Gomez Yokubaitis, and Natalie Merten. Advice was also provided on finance matters by Houston partner Craig Kornreich and counsel Natalie McFarland, with associate Joanna Zhao; on executive compensation, employee benefits, and related matters by associate Julia Harriman; on tax matters by Houston partner Bryant Lee, with associate Lucas Migliano; and on environmental matters by Los Angeles/Houston partner Joshua Marnitz, with associate Nathaniel Glynn.
