Hogan Lovells Cadwalader advises the Crédit Agricole Italia on a revolving credit facility granted to Isoclima

Hogan Lovells Cadwalader has advised Crédit Agricole Italia on a revolving credit facility granted to Isoclima, a global leader in advanced transparent composite solutions for high-technology and security applications.

The financing forms part of a broader transaction through which Fondo Italiano d’Investimento, through Fondo Consolidamento e Crescita II (FICC II), together with TEC Glass, acquired Isoclima from Stirling Square Capital, through the newly incorporated vehicle Transparent Three S.p.A.

In support of the transaction, Transparent Three completed the issuance of two senior secured notes. The proceeds were used in part to finance the acquisition of Isoclima and in part to refinance existing indebtedness arising from previously issued bonds.

Hogan Lovells Cadwalader advised Crédit Agricole Italia on all aspects relating to the revolving credit facility with a team led by partners Iacopo Canino and Bianca Caruso and included associate Laura Leonelli. Luxembourg law aspects were handled by partner Ariane Mehrshahi, counsel Valerie Laskowski, and legal adviser Eszter Voros, while Nathan A. Cooper advised on the U.S. law aspects of the transaction.
