Hogan Lovells Cadwalader advises the Central America Bottling Corporation in a benchmark US$875 million notes offering and related cash tender offer

New York, Miami, Madrid, Singapore – 8 October 2026 – Hogan Lovells Cadwalader advised The Central America Bottling Corporation (“CBC”), CBC Bottling Holdco, S.L.U. (“CBC Bottling”) and Beliv Holdco, S.L.U. (“Beliv”), as co-issuers (CBC, CBC Bottling and Beliv, collectively, the “Co-Issuers”) in connection with an offering pursuant to Rule 144A and Regulation S of US$875 million aggregate principal amount of the Co-Issuers’ 6.950% Senior Guaranteed Notes due 2036 and a successful concurrent cash tender offer for US$400 million of the Co-Issuers’ outstanding 5.250% Senior Guaranteed Sustainability-Linked Notes due 2029.

 

By executing a benchmark-sized bond offering alongside a successful cash tender offer, the Co-Issuers were able to refinance existing debt, extend their maturity profile and enhance their financial flexibility all at once.
