
Global law firm Hogan Lovells Cadwalader, led by Prof. Dr. Michael Schlitt, Dr. Katlen Blöcker and Dr. Sebastian Biller, advised Barclays Bank Ireland PLC (“Barclays“) on the issuance of the financing confirmation in connection with the public takeover offer by Galaxy Germany Holding SE for Nagarro SE.
Galaxy Germany Holding SE, a wholly owned direct subsidiary of Persistent Systems Limited, published a voluntary public takeover offer for Nagarro SE at a cash offer price of EUR 81 per share. The offer volume for all Nagarro shares issued amounts to approximately EUR 1 billion in total. In this context, Barclays issued the financing confirmation required under the German Securities Acquisition and Takeover Act (WpÜG). Hogan Lovells Cadwalader supported Barclays in fulfilling its due diligence obligations and contractual commitments to Galaxy Germany Holding SE as bidder in the public takeover offer for Nagarro SE.
