Herbert Smith Freehills Kramer (HSF Kramer) has advised Aura Consolidated Group, Inc. (Aura) on its acquisition of Qoria Limited (Qoria), the Australian aspects of a US$100 million capital raise and Aura’s concurrent listing on the Australian Securities Exchange (ASX).
The Boston-based Aura, a global leader in online safety and wellbeing tools, completed its acquisition of Perth-based student safety and wellbeing company Qoria through an Australian scheme of arrangement on 17 July 2026.
Aura’s CHESS Depositary Interests (CDIs) began conditional and deferred settlement trading on the ASX on 9 July 2026, and moved to normal settlement trading on 20 July 2026.
The acquisition has created a larger, more diversified business with global reach, bolstering Aura’s scaled consumer platform with a global base of parent accounts and 32,000 school customers on Qoria’s platform.
Bill Lundregan, Chief Legal Officer at Aura, said, “Aura and Qoria have always been mission-driven, mission-aligned companies. We exist to help people of all ages not just stay safe online, but thrive in a fully connected world. Bringing our teams together lets us move faster on something we both care about: creating an end-to-end, AI-first model that proactively protects users across the environments that matter most – home, school and work. We thank everyone in the team at HSF Kramer for their support on this transaction.”
The HSF Kramer team included partners Michael Ziegelaar and Alex Mackinnon; senior associates Nini Lu, Jennifer Wong, and Bevan Wang; and solicitors Yash Ghangas, Stewart Stevenson and Augustus Law.
Michael Ziegelaar said, “Few transactions combine a cross-border acquisition, a scheme of arrangement, a successful listing on the ASX and a capital raise. We are proud to have worked with Aura to achieve this successful outcome, which has brought together two outstanding digital safety innovators to form a global leader.”
Alex Mackinnon added, “We congratulate Aura and Qoria on this innovative and complex cross-border transaction and look forward to seeing the combined business grow from here. As the latest example of a global business coming to the ASX, we expect Aura’s listing will provide positive momentum for Australia’s public markets.”
