DLA Piper has advised Polenergia, the largest private energy group in Poland, on the establishment of a Green Bond issuance program (in accordance with Green Bond Principles) for an amount of PLN1 billion, along with the issuance of the first tranche of Green Bonds with a total nominal value of PLN750 million. The majority of the proceeds will be allocated towards financing the development, purchase, construction, and operation of offshore wind farms. The Green Bonds will be admitted to trading on the Catalyst bond market.
The Green Bonds offering was directed solely to qualified investors and benefited from an exemption from the obligation to publish a prospectus. The dealers for the offering were Bank Polska Kasa Opieki S.A., mBank S.A., and Santander Bank Polska S.A., while the issuing agent was Santander Bank Polska S.A. – Santander Brokerage Office.
A cross-practice team from DLA Piper’s Warsaw office worked on the transaction and was led by Corporate partner Jakub Domalik Plakwicz, senior associate Michał Bałdowski, and counsel Marek Kłeczek. They were supported by Finance partners Mariusz Hyla and Bartłomiej Palusiak, counsel Aleksander Haleniuk, senior associates Arkadiusz Karwala, junior associates Konrad Nazarowski, Natalia Potrubacz.
Jakub Domalik-Plakwicz commented: “Supporting the Polenergia Group on this groundbreaking capital markets transaction, which has a positive impact on the construction of a zero-emission economy, is indeed a very satisfying feeling. This transaction demonstrates the strength and versatility of our capital markets team and clearly displays the multi-faceted capabilities that we offer in equity transactions, public M&A, and debt deals.”
