DLA Piper advises IntraBio on US$2.0 billion acquisition by Shionogi

DLA Piper advised IntraBio Inc. in connection with its entry into a definitive agreement to be acquired by Shionogi Inc., a subsidiary of Shionogi & Co., Ltd., in a transaction that includes US$2 billion in upfront cash consideration.

The proposed transaction is subject to customary closing conditions, including applicable regulatory approvals, and is anticipated to close in the fourth quarter of 2026.

IntraBio develops and commercializes therapies for neurodegenerative diseases. The acquisition would add AQNEURSA® (levacetylleucine), IntraBio’s approved treatment for certain manifestations of rare neurological diseases, to Shionogi’s portfolio and strengthen its rare disease capabilities.

The DLA Piper deal team was led by Partners Josh Seidenfeld, who leads the firm’s Northern California Corporate and Securities practice, Michael Patrone, and Philipp Tsukanov.
