DLA Piper advises Heidelberg Materials on USD 427.9 million stake acquisition in Türkiye’s Akçansa Cement

Global law firm DLA Piper advised Heidelberg Materials AG (Heidelberg, ETR: HEI) on the acquisition of Sabancı Holding’s (IST: SAHOL) 39.72% stake in Akçansa Çimento Sanayi ve Ticaret A.Ş. (Akçansa, IST: AKCNS), increasing Heidelberg’s shareholding in Akçansa from 39.72% to 79.44%. Heidelberg is currently assessing the requirement of a mandatory tender offer to the remaining shareholders of Akçansa.

Akçansa is a leading Turkish cement and building materials company listed on Borsa Istanbul. With three strategically located cement plants, 26 ready-mixed concrete plants, five aggregate quarries, and five cement terminals across five seaports, Akçansa plays a vital role in supplying key building materials to Türkiye’s most dynamic economic regions as well as other international markets.

The acquisition marks a significant strategic step for Heidelberg, strengthening its position in Türkiye, the Mediterranean Basin and other international growth markets; and enables Heidelberg to unlock operational, commercial and logistical synergies and further expand its export capabilities by leveraging one of the world’s most cost-competitive production hubs. The move to majority ownership will enable Heidelberg to fully consolidate and further develop Akçansa’s operational and strategic potential while strengthening its supply capabilities in a market with attractive long-term growth prospects.

Heidelberg is one of the world’s largest integrated manufacturers of heavy building materials and solutions, employing around 49,000 people in almost 50 countries. The company holds leading market positions in cement, aggregates and ready-mixed concrete.

The cross-practice DLA Piper team was led by partner Dr Christoph Dachner assisted by associate Dr Lukas Reitebuch (both Corporate). Partner Semin O and senior associate Julia Goetzendorff (both Lit&Reg) advised on the antitrust and regulatory aspects of the transaction.
