Global law firm DLA Piper advised Fortior Technology (Shenzhen) Co., Ltd. on its acquisition of Sciosense B.V., a Netherlands-headquartered semiconductor sensor company, from Sciosense Holding for a total consideration of approximately US$118 million.
The transaction remains subject to customary closing conditions, including foreign investment screening clearances in the Netherlands, Germany, and Italy, as well as approvals from the relevant PRC regulatory authorities.
Sciosense develops semiconductor sensor technologies and solutions, including flow, gas, temperature, humidity, and pressure sensors. Its products serve a range of end markets, including automotive, industrial, building automation, intelligent metering, and consumer electronics.
The acquisition supports Fortior Technology’s strategy to expand its semiconductor capabilities and strengthen its position as a provider of integrated sensing, decision-making, and execution solutions. The transaction is also expected to support the company’s international growth ambitions by combining its existing driver control chip business with complementary sensor technologies.
DLA Piper and Kaiman Law Firm supported Fortior Technology on all aspects of the transaction, including transaction structuring, legal due diligence, foreign direct investment screening, and EU merger control matters across multiple jurisdictions.
The DLA Piper team was led by partners Casper Hamersma (Netherlands), Christian Iannaccone (Italy), and Nils Krause (Germany), with Semin O (Germany) leading the multijurisdictional team providing foreign direct investment and merger control advice. Partner Manon den Boer (Netherlands) advised on the closing mechanisms.
The Kaiman team was led Corporate Practice Head Stewart Wang, with support from DLA Piper consultant Qin Gu.
