DLA Piper advised Empresa Distribuidora de Electricidad de Mendoza S.A. (Edemsa), a leading electricity distributor, on a US$300 million offering of Class 8 Notes and a concurrent tender offer for its outstanding Class 6 Notes.
The Class 8 Notes were issued under Edemsa’s Global Program for the Issuance of Non-Convertible Notes, which permits up to US$400 million outstanding. The notes are denominated and payable in US dollars, bear interest at 9.75 percent per annum, and mature on June 11, 2033.
In connection with the offering, Edemsa completed a tender offer for its outstanding Class 6 Notes. Holders tendered US$126.155 million aggregate principal amount, representing 84.1 percent of the series outstanding, supporting the company’s broader liability management strategy.
