DLA Piper advises Einride on business combination and U.S. listing

DLA Piper guided electric and autonomous transport leader Einride AB through its business combination with Legato Merger Corp. III and Nasdaq debut, marking the first-ever de-SPAC listing of a Swedish company in the United States and a major milestone in Einride’s global expansion.

The transaction valued Einride at a pre-money equity value of approximately US$1.35 billion. Einride raised US$113 million through an oversubscribed PIPE, supported by new and existing investors, including Stockholm-based EQT Ventures and a West Coast-based global asset manager.

DLA Piper advised on all aspects of the transaction, including the structuring and execution of the business combination and the company’s transition to the US public company regulatory framework. The mandate underscores the firm’s leading global capital markets capabilities and deep experience guiding clients through complex, cross-border transactions.

The DLA Piper deal team was led by Partners Stephen Alicanti in the United States and Emma Norburg in Sweden. The US team included James Fischer, Christopher Paci, Andrew Wolfe, Madison Riede, Tarquin McGurrin, Keith Ranta, Nate McKitterick, Drew Young, Michael Madigan, Leonard Yoo, Melanie Tsang, and Thomas Hauk. The Stockholm-based team included Therese Pekkanen, Carl Johan Pousette, Erik Björkeson, Radwan Benachenhou, Elise Hjelmeland, and Rebecca Sjöberg.
