DLA Piper has advised Andrew Industries on the sale of the BMP Group of companies and RB Medical to Nova Capital Management (Nova), an international private equity firm focused on acquiring and growing industrial, manufacturing and business services companies. Following completion of the transaction, the businesses will continue operating under their existing management structures, with Nova providing additional strategic, financial and operational support.
The BMP Group is a global manufacturer of industrial consumable components and sub-assemblies serving a range of industrial and specialty applications, including office automation, filtration, automotive, domestic appliances, sustainable tree protection and renewable energy markets. RB Medical is a specialised healthcare products business serving the UK medical sector.
Andrew Industries is a privately owned multinational manufacturing group founded in 1894. Headquartered in Lancashire, UK, its businesses are focused on manufacturing and distributing technical nonwoven materials, nonwoven felts and ancillary products for industrial laundry processes.
A multidisciplinary DLA Piper team worked on the transaction led by Corporate partners Jonathan Watkins and Jonathan Paines. The team was supported by senior associate Ben Wilson (Corporate) and associate Jenni Entwisle (Corporate), who played leading roles in delivering the transaction and worked closely with management and the wider adviser group throughout the process. They were supported by David Thompson (Tax), Charlie Bridges (Finance) and colleagues across DLA Piper’s international offices, including Neal Forrest and Maggie McCullough in the United States, Michael Huang in China, and Jorge Benejam and Yesica Garduno in Mexico.
Jonathan Paines commented: “Having advised Andrew Industries over many years, we are particularly pleased to have supported the group on this transaction. The deal reflects the strength of the businesses that Andrew Industries has built and positions them well for future growth under Nova’s ownership. We are grateful for the trust the Andrew Industries team continues to place in DLA Piper and look forward to supporting the group on future opportunities.”
