Dentons HPRP is pleased to have acted as Indonesian legal counsel to Textron Financial Corporation in the successful completion of a cross-border finance lease transaction involving a Bell Textron Canada Ltd Model 429 helicopter in Indonesia.
The transaction involved the finance lease of a Bell 429 helicopter (Manufacturer’s Serial Number 4740), registered in Indonesia as PK-BMB, to Urban Sedona Ltd, a British Virgin Islands-incorporated entity within the Bomba Group. The aircraft will subsequently be sub-leased for operation in Indonesia under the management of Whitesky Aviation, requiring the implementation of a multi-jurisdictional leasing structure and compliance with Indonesian aviation and financing regulations.
Led by Partner Hendra Ong, with support from Senior Associate Ken Atyk Nastiti and Associates Gregorius Alisander Ponglapik and Clara Amanda Musu, Dentons HPRP’s Aviation team advised Textron Financial Corporation throughout the transaction, providing end-to-end legal support from the structuring stage through to closing. The team assisted in negotiating and finalizing the finance lease documentation, structuring the transaction’s security package, preparing Indonesian legal opinions, and advising on the regulatory requirements necessary to facilitate the aircraft’s operation and financing in Indonesia.
